Dealer & Integrator Agreement

• Heckler may approve Partner as a non-exclusive reseller or integrator.
• Authorization may be revoked at any time at Heckler's discretion.

• Partner may sell Heckler products only through approved channels.
• Online marketplace sales, such as Amazon, eBay, and Walmart Marketplace, are prohibited without prior written approval.

• Partner may set its own resale prices.
• Heckler may communicate suggested pricing and policies separately.
• Partner agrees not to advertise pricing in a manner that harms brand positioning or channel integrity.

• Partner agrees to engage professionally with customers and represent Heckler products accurately.
• Heckler may support project opportunities at its discretion.

Opportunity Recognition (Deal Registration)

• Heckler may, at its discretion, recognize partner-initiated sales opportunities or project engagements.
• Recognition does not grant exclusivity or guarantee protection but may be considered in pricing support, inventory allocation, or coordination.
• Heckler reserves the right to determine participation and support on a case-by-case basis.

Partner agrees to:

• Use accurate product information
• Avoid misleading claims
• Maintain professional presentation of Heckler products

• Products may not be modified, relabeled, or repackaged without approval.

• All orders are subject to Heckler Terms of Service.
• Heckler may refuse or cancel orders at its discretion.

• Either party may terminate this Agreement at any time.
• Upon termination, Partner must cease representing itself as an authorized reseller.

• Violations may result in order cancellation, account suspension, or termination.
